Terms
Windfall Invoicing is run by Orchard Telecom Ltd, a company registered in England and Wales, number 16176777. The registered office is 18 Hampden Road, Weston-super-Mare, BS22 6DS. In these terms, “we” means Orchard Telecom Ltd, and “you” means the business that opens an account.
The service
Windfall Invoicing is a place to keep customers, invoices, balances, and schedules, and to email invoices, reminders, and statements. We provide the software. You decide what to put in it and when to send it.
An account is for a business. You must be able to bind that business. You are responsible for the people you invite onto the account and for keeping the login details safe.
Price and payment
A new account costs £5 a month, taken by Stripe until you cancel. The price is shown before you pay. Tax, if any is due on the subscription, is added at checkout.
The books stay closed until the subscription is active. If a payment fails, or you cancel, the books close again until the subscription is active. You can change the card, read Stripe’s invoices, and cancel from Billing inside the app.
Cancelling stops the next charge. It does not delete the records already stored. Fees already paid are not refunded, except where the law requires it.
Your records
The customers, invoices, and messages you store belong to you. You must have a proper reason to keep those people’s details and to email them. You must not use the service to send mail they have not been given a fair chance to expect, or to store information you have no right to hold.
We may suspend an account that is used for fraud, abuse, or anything unlawful, or that puts the service or other people at risk. We will tell you when we can do so without making the problem worse.
Keeping the service running
We take reasonable care to keep Windfall Invoicing available and to protect the records stored in it. We do not promise that it will be free of interruptions. Maintenance, faults, and failures in email or card payments can stop a message or a charge from going through. You should keep your own copy of records you cannot afford to lose.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
We are not liable for loss of profit, loss of business, or loss of the records you chose not to keep a copy of. Our total liability arising out of the service in any 12 month period is limited to the subscription fees you paid us in that period.
Changes
We may change these terms or the price. If the change is material, we will give you notice before it applies to you. If you carry on using the account after that, the new terms apply. If you do not agree, you can cancel.
Law
These terms are governed by the law of England and Wales. The courts of England and Wales decide disputes about them.
